Partners Jennifer S. Huber & Jack L. White to Participate in CLE Webinar

FH+H pleased to announce that partners Jennifer S. Huber & Jack L. White will be speaking in an upcoming Strafford live webinar, "Structuring International Sales Channel Agreements: Complying with Export Laws, FCPA, OFAC" scheduled for Tuesday, March 31, 1:00pm-2:30pm EDT.

U.S. companies continue expanding their global market share. Companies and their counsel must weigh the pros and cons of directly selling in the international marketplace or using local resellers and distributors to get their goods to market.

Counsel must conduct necessary due diligence for selecting a foreign partner to distribute the company's products. Among other things, counsel must confirm that potential business partners are not on the Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List, or the U.S. Commerce's or State Department's sanctioned parties lists.

When negotiating and structuring international sales channel agreements, counsel should thoroughly address key issues such as export compliance, protection of IP rights, and exclusivity.

Our panel will provide guidance for counsel to companies doing business internationally on key considerations when structuring international sales channel agreements. The panel will discuss key contract provisions and offer best practices for structuring the agreement to ensure compliance with export laws, FCPA and OFAC regulations, and other compliance requirements.

We will review these and other key questions:

  • What provisions should counsel include to ensure IP rights are protected?
  • What steps need to be included in the due diligence process when evaluating potential distributors or resellers?
  • What key factors should counsel consider when negotiating and structuring international sales channel agreements?

After our presentations, we will engage in a live question and answer session with participants so we can answer your questions about these important issues directly.

I hope you'll join us.
